These are the terms and conditions ("Terms and Conditions") between you ("You" or "Manufacturer"), and the GSMA Ltd. with its office at 1000 Abernathy Road, Suite 450, Atlanta, Georgia 30328, United States of America ("GSMA"), together "Parties", governing your agreement with the GSMA for TAC allocation ("Agreement").

(A) In accordance GSMA Permanent Reference Document TS.06 - IMEI Allocation and Approval Guidelines ("TS.06"), in force at the time, the GSMA has, as the industry appointed Global Decimal Administrator ("GDA"), primary responsibility for coordinating the overall allocation of equipment identifiers to manufacturers of mobile devices that comply with the specifications developed by 3GPP ("Type Allocation");

(B) As defined below in more detail, the term Type Allocation refers to the process by which "Mobile (Telecommunication) Equipment" ("ME") is allocated a "Type Allocation Code" ("TAC") and an "International Mobile Equipment Identifier" ("IMEI") number range;

(C) In discharging its responsibilities as the GDA, GSMA has engaged the assistance of administrators, also known as a "Reporting Body" ("RB") in the allocation of TACs for MEs

The GSMA, in its capacity as the GDA, maintains a centralised list of all TACs issued. The information in the list shall be made available to mobile network operators via an IMEI database ("IMEI Database") as a "White List" of mobile equipment permitted for use on mobile networks.

(F) "TAC Allocation", "TAC Allocated" or "Allocate TAC" shall mean the association of a specific TAC number with a specific ME Model (as defined below).

(G) The GSMA and You wish to establish terms, which will govern the allocation of one or more TACs to You.

1. Manufacturer Participation

1.1 You acknowledge and warrant to the satisfaction of the GSMA that You are an “ME Owner”, i.e. either:
a) a mobile device manufacturer, manufacturing and marketing devices;
b) a duly approved and bona fide representative of a mobile device manufacturer assisting the mobile device manufacturer in (a) above,
c) a company distributing, marketing or offering MEs for sale under your own brand.

1.2 You acknowledge and agree that the GSMA, as the industry appointed GDA, is the custodian of data pertaining to every Type Allocation.

1.3 In addition to the clauses set out below, TAC Allowance and TAC Allocation and any processes associated with these terms are set out in Schedule 2 of this document.

1.4 You will complete the web based Manufacturers Registration Form and provide any additional information as may be reasonably required by the GSMA or an appointed RB, in support of your registration and TAC / IMEI number range applications.

1.5 Registration:
a) You can only register with the address for your company’s head office location.
b) Subsidiaries can only register with their parent company address.

1.6 You are only entitled to "Allocate TAC" and IMEI number ranges after you have obtained a Manufacturer ID from a GSMA appointed RB.

1.7 You accept that the GSMA and the RBs reserve the right at the discretion of the GSMA to reject an application for a Manufacturer ID, if it cannot be confirmed that you are eligible (as defined in section 1.1) to request TAC. If You wish to appeal against the rejection by the RB of an application for a manufacturer ID, You may do so by submitting a request to the GSMA at imeihelpdesk@gsma.com.

1.8 On receipt of an unique Manufacturer ID, You will:
a) Keep the unique Manufacturer ID confidential;
b) Under no circumstances share it with any other third party (unless expressly agreed by the GSMA); or
c) Misuse the unique Manufacturer ID in any way by entering false or misleading information in the GSMA IMEI Database.

1.9 "ME Model" is defined as ME which is different from other MEs:
a) By hardware platforms;
b) By transceiver
c) By control software;
d) By frequency bands; or
e) As it is manufactured or assembled or commissioned by different ME Owners
|

1.10 Every ME model shall have a unique TAC or set of TACs. A TAC may not be associated with more than one ME model.

1.11 Major changes to the "ME Build Level" shall require a new TAC, i.e. additional frequency bands or new transceiver design or new transceiver control software.

1.12 Multiband or Multimode ME transceivers shall only have one equipment identifier, e.g. one TAC.

1.13 The requirements in Clauses 1.9 to 1.12 may be subject to additional in- country requirements imposed by national regulators. However, in no case shall such requirements be interpreted as constituting permission not to apply the obligations set out in Clause 1.9 to 1.12.

1.14 You acknowledge and agree that:
(a) You will only incorporate an unique TAC/IMEI number Allocated by the GSMA in each manufactured device of an ME Model.
(b) There will be no duplication of Allocated TAC and/or the IMEI numbers to different ME Models;
(c) TAC numbers shall not be invented or copied from other Allocated or existing or future TAC ranges. The use of TAC Allocated to another party constitutes theft;
(d) You will apply for and only incorporate the Allocated TACs (and corresponding ranges of IMEI numbers) for each and every ME Model placed in the market; and
(e) In accordance with Clause 1.9, no more than one ME Model may use the same TAC.

1.15 You accept that TAC applications must be submitted via the web based "IMEI TAC Application Form" and each application requires the input of specific information pertaining to each model for which a TAC and IMEI number range is required.

1.16 You undertake not to:
(a) Apply for TAC allocation for any ME Models other than such models of which you are the ME Owner;
(b) Buy, acquire ,receive or make use of TAC from third parties
(c) Provide any false, inaccurate or incomplete data pertaining to an ME Model you are requesting TAC for; or
(d) Assign, transfer or novate TACs assigned to you to any third party.

1.17 You recognise that TAC and IMEI number ranges are finite resources. In accordance with any obligation regarding the use of TACs imposed on you in "TS.06", you agree to act in good faith when making use of the available TAC and IMEI resources and use such resources in an efficient manner in order to minimize waste and unnecessary TAC allocations.

1.18 You commit to not use the TAC allocation process in any way that may be considered injurious or detrimental to the mobile industry or to bring it into disrepute

2. Term and Termination

This Agreement shall be effective from the date of acceptance of this Agreement until terminated in accordance with the terms set out in this section.

2.1 Either Party may terminate this Agreement without any further obligation to the other Party with 3 months notice.

2.2 GSMA may terminate the Agreement forthwith by written notice to You if
You commit a material breach of Your obligations under the Agreement and as such the breach cannot be remedied within one week of receiving written notice from the GSMA of the breach

2.3 You accept that failure to comply with or misuse of the TAC allocation process may, at the discretion of the GSMA:
(a) Be considered a material breach incapable of being remedied;
(b) Result in the immediate:
(i) Termination of the Agreement; and/or
(ii) Discontinuation of service without notice and the withdrawal of the Allocated TACs as appropriate;
with no refund of fees or other compensation due on the part of GSMA;and/or
(c) Your Allocated TACs may be withdrawn from the GSMA IMEI Database with the result that the TACs and the details pertaining to them will not be made available to any operators and devices containing those TACs may therefore cease to function on mobile networks.

2.3 贵司同意,经自行决定,不遵守或滥用分配流程可能:

2.4 Upon termination of this Agreement,
(a) You shall cease to apply for or receive any TAC allocations; and
(b) You will automatically forgo any entitlements, rights and privileges You may have under this agreement.
|

3. Warranty

3.1 The GSMA does not warrant or accept any responsibility for the correctness, merchantability, fitness for any particular purpose, or any third party rights, claims and encumbrances in relation to the deliverables under this Agreement.

3.2 Except as expressly stated in this Agreement, all warranties and conditions, whether express or implied by statute, common law or otherwise (including but not limited to fitness for purpose) are hereby excluded to the extent permitted by law.

4. Limitation of Liability

4.1 You indemnify and hold the GSMA harmless, against any claims or actions (including reasonable costs) arising from or related to any action or omission by You or Your affiliates contrary to the terms of this Agreement.

4.2 Any services provided by the GSMA or its affiliates hereunder are provided "as is" and without any warranty of any kind. All warranties, whether express, implied, or statutory, including without limitation any implied or other warranties of merchantability, fitness for a particular purpose, non-infringement, quality, accuracy, completeness, title or quiet enjoyment are expressly disclaimed and excluded by the GSMA.
|

4.3 The GSMA shall not be liable to any other party for any incidental, consequential, indirect or special damages of any kind or for loss of profits or revenue or loss of business whether arising from negligence, breach of this Agreement or howsoever caused, whether or not the other party was advised of the possibility of such damage. Except in respect of injury to or death of any person, in no event shall GSMA’s liability in aggregate under this Agreement exceed the annual Fee actually received by the GSMA from You in the preceding 12 months from the last incident as proven in court that forms part of your claim.
|
4.3 对于任何种类的附带性、后果性、间接性或特殊性损害或者对于利润或收益损失或业务丧失,无论是因过失、违反本协议还是任何原因产生的,无论另一方是否被告知了该损害的可能性,均不向任何其他方承担责任。除了与任何人所受伤害或死亡有关的情况以外,在任何情况下,在本协议下的总责任均不超过自法院证明的、构成贵司权利要求的一部分的最近一次事故起个月内从贵司实际收到的年度费用。

4.4. GSMA does not make any warranties to You, whether express, implied, statutory or otherwise.

4.5 Nothing herein shall have the effect of limiting or excluding either party’s liability for death or personal injury caused by gross negligence or wilful misconduct.

5. Confidentiality

5.1 You accept that all approved manufacturer IDs, and associated information, will be centrally recorded and may be made available to RBs, GSMA staff, GSMA members and other parties as the GSMA deems appropriate and to be of benefit to the industry. This may include customs and law enforcement agencies, regulators, insurance companies, recycling companies or companies providing support services to operators.

5.2 You shall not disclose any information that by its nature is deemed confidential in connection with this Agreement.

5.3 You shall restrict access to confidential information, disclosed to You in connection with this Agreement, to only those of your employees to whom such access is necessary for carrying out any tasks pursuant to this Agreement and advise such employees of the obligations assumed herein.

5.4. You agree to secure and protect any confidential information disclosed in connection with this Agreement with the same degree of care that You use to secure and protect Your own confidential and proprietary information of a similar nature, and to take all reasonably appropriate actions with Your employees or agents who are permitted access thereto, to satisfy Your obligations hereunder.

5.4 贵司同意保护就本协议披露的任何保密信息,保护的程度与贵司保护自己同类性质的保密和专有信息的程度相同,并且对被允许接触该等保密信息的贵司员工或代理人采取一切合理适当的行动,以履行贵司在本协议下的义务。

5.5 Upon discovery of any unauthorized possession or use of any confidential information disclosed in connection with this Agreement, You shall promptly notify GSMA of the same and shall cooperate with GSMA in every reasonable effort to regain possession or prevent further unauthorized use of the Confidential Information or Deliverables.
|
5.5 贵司如发现任何未经授权地占有或使用任何就本协议披露的保密信息,应尽快通知并且与配合采取一切合理的措施来收回保密信息或可交付物或防止对保密信息或可交付物的进一步未经授权的使用。
|
6. Governing Law and Jurisdiction

6.1 This Agreement shall be construed and interpreted in accordance with the laws of England excluding its rules for choice of law and under the exclusive jurisdiction of the English Courts.

6.2. The rights of third parties pursuant to the Contracts (Rights of Third Parties) Act 1999 shall be excluded from this Agreement.

7. General

The Agreement is the entire agreement between the parties relating to the subject matter and supersedes any prior agreement, representations, communications, undertakings, or discussions relating to the subject matter

SCHEDULE 1

"FEES"
|
TAC ALLOCATION CHARGES
|
1. Pursuant to Clause 2.1 of the main body of this Agreement the GSMA charges Manufacturers the Fees as set out below.
|
2. TAC Allowance does not have an expiration date and can be used at any time for allocation to specific ME Models.
|
3. All Fees associated with the TAC Allocation services to be paid in advance.
|
4. All payments need to be either made by Credit Card, Wire Transfer, via the TAC/IMEI Portal or payment of an invoice which is created via the TAC/IMEI Portal:
|
(a) The "Fee" can be paid either direct within the IMEIDatabaseby Credit or Debit Card or you can request an invoice and make the payment via a bank.
|
Note:- Payment by invoice & bank transfer can take 5 to 10 working days for the money to reach the GSMA account, and
|
(b) If you pay via a bank transfer you will be sent a notification email when the payment has been received.
|
5. Fee Structure - TAC are allocated individually for a fee of $400 per TAC

Special Rate for High Users of the TAC Allocation Process |

Group 4 - If TAC allocated to You in the previous 12 months is in excess of 30 TACs, You are allowed, at the beginning of each new Term, the same quantity of TAC Allocated in the previous Term "Grandfather Allowance" see below. |
All inclusive 12 months fee: $12000 in accordance with Clause 8. |
Additional TACs beyond Grandfather Allowance are reserved in bundles of 10 ("Bundle"). |
$3000 for each additional Bundle. |

6. GSMA Members and Associate Members receive a 10% discount on the above Fees
|
7. The maximum amount You will pay in any one Term is $30,000.After this the TAC are supplied in quantities of 10, free of charge. Additional blocks of 10 TAC can only be requested when the previous 10 TAC have been Allocated to ME Models.
|
8. Grandfathering
|
(a) If you have Allocated more than 30 TAC to ME Models:
|
(i) Within 12 months of your first ever TAC Allocation Term; or
|
(ii) In any proceeding Grandfather Term as defined below; or
|
(iii) Within any 12 month period following a declined Grandfather
|
RateOfferstarting on the date of the next TAC Allocation;
collectively defined as "Term", you can pay a reduced fee "Grandfather Rate Fee" as set out in this Schedule for a subsequent 12 month term, "Grandfather Term".
|
(b) A Grandfather Term is defined as the 12 month period starting on the date of the first TAC Allocation from the Grandfather Allowance following any accepted Grandfather Rate Offer.
|
(c) The Grandfather Rate Offer entitles you to a TAC Allowance equal to the TAC actuallyAllocated to ME Models in thefirst ever12 month term* or Grandfather Termfor $12000 as stated above "Grandfather Allowance".
|
(d) In excess of the Grandfather Allowance, additional "Bundles"of TAC Allowance (as defined above) will be offered at $3000 each.
|
(e) The Grandfather Rate Offer is only available the first time you login to the IMEIDatabaseafter your previous Term has ended.
|
(f) The IMEIDatabasewill send you notification of this Grandfather Rate Offer identifying the Grandfather Allowance.
|
(g) If you decline a Grandfather Rate Offer followingany Term, you can receive future Grandfather Rate Offers. The IMEI Databasewill generate these on the relevantanniversary as described in a) and e) provided more than 30 TAC have been allocated in the previous Term.

To obtain the TAC the following process must be followed:

1. Youmust be register in the GSMA IMEI Database, see section 1.1 for details of who can register in the IMEI Database.

2. When you have a Manufacturer ID & Password you are able to enter the IMEI Database

4. In order to use your allowance and initiate the TACAllocation complete the TAC application form as required in the IMEI Database. This form is then sent via the IMEIDatabaseto the RB for confirmation of the ME Model Specification and the specific TAC allocated. Multiple model names can be added to the same TAC provided each model name is functionally the same ME Model as defined in section 1.9.

5. When the TAC is allocated to a specific ME Model you will be sent a notification email & a TAC certificate issued by the GSMA.

6. The remaining TAC from your Allowancecan be Allocatedto ME Models as required by repeating Clause 5 above in this Schedule.

7. If more TAC than your TAC Allowanceare required you must repeat the process from Clause 3 above in this Schedule.
